These Terms and Conditions ("Terms") govern your use of the website at quantumthoughtlab.com and any services provided by QuantumThought Lab ("we", "us", "our"), a trading name operated by Shivam Chawla, Delhi NCR, India. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

QuantumThought Lab provides AI workflow automation consulting services including, but not limited to:

  • Workflow Audits — identification and prioritisation of manual workflow inefficiencies
  • AI Workflow Implementation — design and deployment of automation solutions
  • Fractional AI Officer services — ongoing advisory and implementation support

The specific scope, deliverables, timeline and price for any engagement will be set out in a written Proposal or Statement of Work agreed between the parties before work commences.

2. Workflow Audit

  • The Workflow Audit is a paid, standalone service priced at ₹25,000 (India) or £500 (UK/international)
  • The Audit fee is applied in full toward any subsequent implementation engagement commenced within 60 days
  • The Audit fee is non-refundable once the session has been conducted
  • Deliverables from the Audit include a written workflow assessment and automation roadmap

3. Payment Terms

  • Implementation projects require a 50% deposit prior to commencement of work
  • The remaining 50% is due upon delivery of the agreed final deliverable
  • Invoices are payable within 7 business days of issuance
  • Late payment may attract interest at 2% per month on the outstanding balance
  • We reserve the right to pause work on any project where payment is overdue by more than 14 days
  • All prices are exclusive of applicable taxes (GST for India-based clients)

4. Cancellation and Refunds

  • Workflow Audit: cancellations made more than 48 hours before the scheduled session will receive a full refund. Cancellations within 48 hours are non-refundable
  • Implementation projects: if you cancel after work has commenced, you will be invoiced for work completed to the date of cancellation, calculated on a pro-rata basis
  • We reserve the right to terminate an engagement if a client is unresponsive for more than 14 consecutive business days, with invoicing for work completed to that date

5. Client Responsibilities

For a successful engagement, you agree to:

  • Provide timely access to systems, data, workflows and relevant team members as required
  • Designate a single point of contact for the duration of the project
  • Provide feedback on deliverables within 5 business days of receipt
  • Ensure you have legal rights to any data or system access provided to us
  • Not share any AI tools or automation systems we build exclusively for you with third parties without written consent

6. Intellectual Property

  • Upon receipt of full payment, all custom-built automation tools, workflows and documentation created specifically for your engagement are assigned to you
  • We retain the right to use underlying methodologies, frameworks and general knowledge gained during the engagement in future work
  • We retain ownership of any proprietary tools, templates or frameworks we bring to an engagement that were developed independently
  • Any content on quantumthoughtlab.com — including copy, design, code and branding — remains the exclusive property of QuantumThought Lab

7. Confidentiality

We treat all client business information, data and workflows as strictly confidential. We will not disclose your information to any third party without your consent, except as required by law or as necessary to deliver the agreed services (e.g. sub-contractors under confidentiality obligations). Clients are similarly expected to keep our methodologies, pricing and unpublished tools confidential.

8. Results and Outcomes

We provide outcome estimates during the Audit based on our professional assessment of your workflows. These estimates are indicative and not a guarantee. Actual results depend on factors including quality of data provided, level of client cooperation, and the complexity of existing systems. We do not warrant any specific performance improvement, cost reduction or revenue outcome.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Our total liability to you under any engagement shall not exceed the total fees paid by you to us for that specific engagement
  • We shall not be liable for any indirect, consequential, incidental or special loss, including loss of profits, loss of data or business interruption
  • We are not liable for any disruption or damage caused by third-party tools, platforms or APIs integrated during a project

10. Warranties

We warrant that:

  • Services will be delivered with reasonable skill, care and professional diligence
  • We have the right to enter into service agreements and fulfil the agreed scope

All other warranties, express or implied, are excluded to the extent permitted by law.

11. Governing Law

These Terms are governed by the laws of India. For UK and international clients, disputes will be resolved by mutual negotiation in the first instance, with Indian law applying if legal proceedings become necessary. Each party submits to the non-exclusive jurisdiction of the courts of Delhi, India.

12. Changes to These Terms

We may update these Terms at any time. The current version is always available at quantumthoughtlab.com/terms. Continued use of our services after any update constitutes acceptance.
